By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

THESE TERMS AND CONDITIONS CONTAIN A DISPUTE RESOLUTION CLAUSE THAT IMPACTS YOUR RIGHTS ABOUT HOW TO RESOLVE DISPUTES. PLEASE READ IT CAREFULLY.

Intellectual Property
All content published and made available on our Site is the property of Cameron Shotter and the Site's creators. This includes, but is not limited to images, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

We reserve the right to suspend or terminate your account if you are using our Site illegally or if you violate these Terms and Conditions.

Sale of Services
These Terms and Conditions govern the sale of services available on our Site.

The following services are available on our Site:

  • Starter tier;

  • Growth tier; and

  • Scale tier.

The services will be paid for in full when the services are ordered.

These Terms and Conditions apply to all the services that are displayed on our Site at the time you access it. All information, descriptions, or images that we provide about our services are as accurate as possible. However, we are not legally bound by such information, descriptions, or images as we cannot guarantee the accuracy of all services we provide. You agree to purchase services from our Site at your own risk.

We reserve the right to modify, reject or cancel your order whenever it becomes necessary. If we cancel your order and have already processed your payment, we will give you a refund equal to the amount you paid. You agree that it is your responsibility to monitor your payment instrument to verify receipt of any refund.

Subscriptions
Your subscription automatically renews and you will be automatically billed until we receive notification that you want to cancel the subscription.

To cancel your subscription, please follow these steps: Cancellation Process

Customers may cancel their subscription at any time through their account dashboard
No refunds will be issued for partial months of service
Cancellation takes effect at the end of the current billing period
All code reviews submitted before cancellation will be completed according to service terms

Notice Period
No minimum notice period required
Customers can continue using the service until the end of their paid billing period
Automatic renewal will be stopped immediately upon cancellation

Data & Access
Access to the service continues until the end of the billing period
Historical review data remains available for 30 days after subscription end
Customers are responsible for exporting/saving any data they wish to retain

Refunds
No prorated refunds for unused portions of the current billing period
Any disputed charges must be reported within 30 days of the charge

Reactivation
Customers may reactivate their subscription at any time
Service will resume at current market rates
Historical data may be unavailable after the 30-day retention period.

Payments
We accept the following payment methods on our Site:

  • Credit Card;

  • Stripe; and

  • Alipay.

When you provide us with your payment information, you authorise our use of and access to the payment instrument you have chosen to use. By providing us with your payment information, you authorise us to charge the amount due to this payment instrument.

If we believe your payment has violated any law or these Terms and Conditions, we reserve the right to cancel or reverse your transaction.

Refunds
Refunds for Services
We provide refunds for services sold on our Site as follows:

  • No prorated refunds for unused portions of the current billing period.
    Any disputed charges must be reported within 30 days of the charge.

 

Guarantees
The following guarantees apply to our Site:

  • All code reviews will be performed by qualified senior frontend developers; and

  • If we fail to meet our 24-hour turnaround commitment, affected reviews will not count against your monthly quota;

 

Consumer Protection Law
Where the Consumer Gurantees Act 1993, the Contract and Commercial Law Act 2017, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

Links to Other Websites
Our Site contains links to third party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third party website or service linked to on our Site. It is your responsibility to read the terms and conditions and privacy policies of these third party websites before using these sites.

 

Limitation of Liability
Cameron Shotter and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your use of the Site.

 

Indemnity
Except where prohibited by law, by using this Site you indemnify and hold harmless Cameron Shotter and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

 

Applicable Law
These Terms and Conditions are governed by the laws of New Zealand.

 

Dispute Resolution
Subject to any exceptions specified in these Terms and Conditions, if you and Cameron Shotter are unable to resolve any dispute through informal discussion, then you and Cameron Shotter agree to submit the issue before a mediator. The decision of the mediator will not be binding. Any mediator must be a neutral party acceptable to both you and Cameron Shotter. The costs of any mediation will be shared equally between you and Cameron Shotter.

Notwithstanding any other provision in these Terms and Conditions, you and Cameron Shotter agree that you both retain the right to bring an action in small claims court and to bring an action for injunctive relief or intellectual property infringement.

 

Additional Terms

  • Limitations
    -We do not guarantee that following our code reviews will result in bug-free code.
    -Code review recommendations are advisory in nature.
    -We cannot guarantee specific business outcomes or performance improvements.
    -Service availability may be impacted by factors outside our control (force majeure).;

  • Pause Eligibility
    -Subscriptions can be paused after the first full billing cycle.
    -Pause feature available for all subscription tiers.
    -Maximum pause duration: 3 months per calendar year.
    -Minimum pause duration: 7 days.

    During Pause Period
    -No billing occurs during the pause period.
    -No code reviews will be processed.
    -Account access is limited to administrative functions.
    -Previously completed reviews remain accessible.
    -Unused review credits are preserved.

    Pause Process
    -Pause requests take effect at the end of the current business day.
    -Any reviews submitted before pause activation will be completed.
    -Customers will receive email confirmation of pause status.
    -Automatic reminders sent 3 days before maximum pause duration.

    Resume Process
    -Service can be resumed at any time during the pause period.
    -Billing restarts on the day service is resumed.
    -Pro-rated charges apply for partial billing periods.
    -All features reactivate immediately upon resume.
    -Previous subscription terms and conditions apply.

    Limitations
    -Cannot pause within first 30 days of subscription.
    -Pause periods cannot be retroactively applied.
    -Maximum of 2 pause periods per calendar year.
    -Paused time does not count toward subscription commitment periods.;

  • Intellectual Property Rights

    Customer Code & Materials
    -All source code, assets, and materials submitted for review remain the exclusive property of the customer.
    -Our service does not claim any ownership rights over reviewed code.
    -Customers warrant they have necessary rights/licenses for all submitted code.
    -Third-party code/dependencies must be properly licensed.
    -Customer retains all patents, copyrights, and trade secrets.

    Review Content
    -Code review comments, suggestions, and documentation are provided as a service deliverable.
    -Customers receive a perpetual, worldwide license to use review feedback.
    -Generic coding patterns and solutions suggested in reviews may be reused.
    -Review methodology and templates remain our intellectual property.
    -Customers may not resell or redistribute review methodologies.

    Confidentiality & Non-Disclosure
    -All submitted code is treated as confidential information.
    -Access restricted to assigned reviewers bound by NDAs if required.
    -No code will be shared with third parties without explicit consent.
    -Repository access credentials treated as confidential.
    -Breach notification within 24 hours of discovery.

    Marketing & Case Studies
    -Company names not used without explicit permission.
    -Generic industry/project descriptions allowed.
    -Testimonials require written approval.
    -Right to revoke marketing permissions.
    -No disclosure of specific code or implementation details.

    Data Usage Rights
    -Aggregated, anonymized metrics may be collected.
    -Usage patterns may be analyzed for service improvement.
    -Customer retains all rights to performance metrics.
    -Opt-out available for data collection.

    Derivative Works
    -Improvements made based on reviews belong to customer.
    -Review suggestions do not create joint ownership.

    Exit Rights
    -Complete codebase deletion upon request.
    -Review history exportable by customer.
    -No retention of customer-specific code patterns.
    -Return/destruction of confidential materials.

    Reviewer Rights
    -Reviewers may not clone or retain customer code without explicit permission.
    -Knowledge gained remains reviewer's property.
    -Generic solutions may be reused.
    -No specific implementation details retained.
    -Code snippets removed from reviewer systems.

    AI Tools & Code Analysis
    -We may use AI-assisted code review tools in secure, isolated environments.
    -Usage limited to reputable AI services with strong privacy policies.

    Code snippets shared with AI tools will be:
    -Minimized to relevant portions only.
    -Stripped of sensitive comments/identifiers.
    -Anonymized of business logic where possible.
    -Used only in isolated, non-training sessions.

    AI tools will only be used for:
    -Code quality analysis.
    -Best practice recommendations.
    -Pattern recognition.
    -Performance optimization suggestions.

    AI usage will comply with:
    -AI tool's terms of service.
    -Customer's security requirements.
    -Data protection regulations.

    -No training or fine-tuning of AI models with customer code.
    -AI interactions are ephemeral and not stored.
    -Regular audit of AI tool security credentials.;

  • Service modifications

    Changes to Service
    -Right to enhance, modify, or deprecate features with 30 days notice
    -Material changes to service communicated via email
    -Minor updates posted to changelog/documentation
    -Emergency security patches may be deployed immediately
    -Service availability maintained during transitions


    Pricing Changes
    -60 days advance notice for price increases
    -Existing customers retain current pricing for 3 months
    -Option to switch plans before new pricing takes effect
    -No retroactive price changes
    -Promotional pricing may expire as advertised


    Legacy Support
    -Discontinued features supported for 90 days
    -Migration assistance provided for major changes
    -Documentation maintained for deprecated features
    -Backward compatibility where possible
    -Clear migration paths provided;

    Usage Limits

    Code Quality Standards

Severability
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

 

Changes
These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site.
